Terms and Conditions — AugurSignals

These Terms and Conditions ("Terms") govern your access to and use of the AugurSignals platform, website, and services (collectively, the "Service") operated by Augur Signals UG (haftungsbeschränkt) ("we," "us," or "the Operator", or "AugurSignals"). By accessing or using the Service, you agree to be bound by these Terms.

1. Nature of the Service

1.1 Informational Service Only

AugurSignals is a data research and informational platform. The Service provides algorithmically generated analytics, alerts, and indicators derived exclusively from publicly available data sources, including SEC EDGAR filings.

The Service does not constitute:

• Investment advice or personal financial recommendations
• Financial analysis within the meaning of § 85 WpHG (German Securities Trading Act)
• Regulated financial services under MiFID II or comparable regulations
• A solicitation or offer to buy or sell securities

1.2 No Fiduciary Relationship

Your use of the Service does not create a fiduciary, advisory, or professional relationship between you and the Operator. We do not act as your financial advisor, broker, or agent.

1.3 Algorithmic Generation

All alerts, signals, P-Factor scores, and analytical outputs are generated through automated algorithms. These outputs reflect mathematical analysis of historical public data and do not incorporate non-public information, human judgment regarding investment merit, or consideration of individual circumstances.

2. User Responsibilities

2.1 Independent Decision-Making

You acknowledge and agree that:

• Any investment decisions you make are your sole responsibility
• You will conduct your own research and due diligence before acting on any information obtained through the Service
• The Service does not account for your personal financial situation, investment objectives, risk tolerance, or tax circumstances
• Past performance of any insider, signal, or indicator does not guarantee future results

2.2 Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using the Service under applicable law

2.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

3. Subscription and Payment

3.1 Subscription Plans

Access to the Service requires a paid subscription. Current pricing and plan details are displayed on our pricing page. We reserve the right to modify pricing with reasonable advance notice to existing subscribers.

3.2 Free Trial

We may offer a free trial period for new subscribers. During the trial:

• You will have full access to Service features
• No payment will be charged during the trial period
• Your subscription will automatically convert to a paid subscription at the end of the trial unless cancelled
• You may cancel at any time before the trial ends without charge

3.3 Billing

• Subscriptions are billed in advance on a recurring basis (monthly or as specified)
• Payment is processed through our third-party payment provider (Stripe)
• You authorize us to charge your designated payment method for all subscription fees
• All fees are quoted and charged in the currency displayed at checkout

3.4 Cancellation

• You may cancel your subscription at any time through your account settings or the Stripe billing portal
• Cancellation takes effect at the end of the current billing period
• You retain access to the Service until the end of your paid period
• We do not provide prorated refunds for partial billing periods

3.5 Failed Payments

If a payment fails, we may:

• Retry the payment method on file
• Suspend access to the Service until payment is received
• Terminate your subscription after reasonable notice

4. Acceptable Use

4.1 Permitted Use

You may use the Service for:

• Personal research and analysis
• Informing your own investment decisions
• Educational purposes

4.2 Prohibited Use

You may not:

• Resell, redistribute, or sublicense access to the Service or its data
• Use automated systems (bots, scrapers) to extract data in bulk without authorization
• Circumvent technical measures designed to protect the Service
• Use the Service in violation of applicable securities laws
• Misrepresent data from the Service as your own analysis or as professional advice
• Share your account credentials with third parties
• Use the Service for any unlawful purpose

4.3 Data Export

Your subscription includes data export functionality for personal use. Commercial redistribution of exported data is prohibited without separate written agreement.

5. Intellectual Property

5.1 Our Rights

The Service, including its software, algorithms, design, text, graphics, and user interface, is owned by the Operator and protected by copyright, trademark, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during your active subscription.

5.3 Third-Party Data

The Service incorporates data from public sources including the U.S. Securities and Exchange Commission. Such data remains subject to any applicable terms of the original source.

5.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without obligation or compensation to you.

6. Disclaimers and Limitation of Liability

6.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy, completeness, or timeliness of data
• Uninterrupted or error-free operation
• Results or outcomes from use of the Service

6.2 Investment Risk Disclaimer

INVESTING IN SECURITIES INVOLVES SUBSTANTIAL RISK OF LOSS. You acknowledge that:

• Securities markets are inherently volatile and unpredictable
• Insider trading patterns, while informative, do not reliably predict future price movements
• Following any signal or alert may result in financial loss
• You may lose some or all of your invested capital

6.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• The Operator shall not be liable for any loss of profits, revenue, data, or investment losses
• The Operator's total liability for any claim arising from or related to the Service shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim

6.4 Data Accuracy

While we strive to ensure data accuracy, we do not guarantee that:

• SEC filing data is free from errors or omissions
• Our algorithms correctly interpret all filing formats
• Historical data reflects real-time market conditions
• All relevant filings are captured or processed

You should verify critical information against primary sources (SEC EDGAR) before making investment decisions.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Operator and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any investment decisions you make based on Service data

8. Modifications

8.1 To the Service

We may modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes affecting your subscription.

8.2 To These Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.

9. Termination

9.1 By You

You may terminate your account at any time by cancelling your subscription and ceasing use of the Service.

9.2 By Us

We may suspend or terminate your access if:

• You breach these Terms
• Your payment method fails and is not resolved
• We are required to do so by law
• We discontinue the Service

9.3 Effect of Termination

Upon termination:

• Your right to access the Service ends immediately (or at the end of your paid period, if applicable)
• Provisions that by their nature should survive (including Sections 6, 7, and 10) will remain in effect

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict of law principles.

10.2 Jurisdiction

For disputes that cannot be resolved amicably, the courts of Schöneiche bei Berlin, Germany shall have exclusive jurisdiction, provided you are a merchant (Kaufmann), a legal entity under public law, or a special fund under public law.

10.3 Consumer Rights

If you are a consumer within the European Union, you retain any mandatory protections provided by the law of your country of residence. Nothing in these Terms limits your statutory rights as a consumer.

10.4 Prior Contact

Before initiating legal proceedings, you agree to contact us to attempt resolution. We commit to responding within fourteen (14) business days.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Operator regarding the Service.

11.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

11.3 No Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

11.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights and obligations without restriction.

11.5 Language

These Terms are provided in English. In case of any conflict with translations, the English version shall prevail.
